Terms of Service

1. Agreement and Acceptance
These Terms of Service (“Terms”) constitute a binding agreement between you and Vaxio Inc. (“Company,” “we,” “us,” or “our”) governing your use of the Frontbell platform and services (the “Service”). By accessing, registering for, or using the Service, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2. Service Description
Frontbell is an AI-powered phone answering, call management, and business communication platform designed for small to medium-sized service businesses. The Service includes:
- Inbound call answering and routing
- SMS and text message management
- Call recording and transcription
- Business communication analytics
- Lead capture and management
- Team notifications and coordination
- API access for third-party integrations
3. User Eligibility and Accounts
3.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement to use the Service. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3.2 Account Creation
To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.
3.3 Account Restrictions
You may not:
- Share your account credentials with others
- Create multiple accounts for the same business
- Use another person's account
- Impersonate another person or entity
4. Subscription Plans and Pricing
4.1 Available Plans
Frontbell offers the following subscription tiers:
- Solo Agent: $249/month
- Office Co-Pilot: $499/month
- Digital Dept: $999/month
- Enterprise: Custom pricing (contact sales)
Each plan includes specific features, usage limits, and support levels as described on the Service website.
4.2 Trial Period
New users may be eligible for a results-based trial period allowing up to 10 free incoming calls. During the trial period, you have full access to the Service and must comply with all Terms. Trial access may be revoked at any time at our discretion. After the trial period expires or the call limit is reached, you must purchase a subscription to continue using the Service.
4.3 Pricing Changes
We reserve the right to modify subscription pricing with 30 days' notice. Changes will apply to renewals of your subscription. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
5. Payment Terms
5.1 Billing
Subscription fees are billed monthly in advance based on your selected plan. Billing occurs on the same day each month, except where the calendar month does not have the corresponding day, in which case billing occurs on the last day of the month.
5.2 Payment Methods
You authorize us to charge the payment method on file for all subscription fees and any additional charges incurred. You are responsible for maintaining current, accurate payment information in your account.
5.3 Failed Payments
If a payment fails, we will attempt to retry the charge. If payment ultimately fails, we may suspend your Service access until payment is received. Accounts with overdue balances may be subject to collection action.
5.4 Taxes
You are responsible for all applicable taxes (including sales tax, VAT, and GST) associated with your subscription. If applicable tax documentation is not provided, we may collect estimated taxes.
6. Cancellation and Termination
6.1 Cancellation by You
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months. Your account and data will be retained for 30 days after cancellation, after which they will be permanently deleted unless you request otherwise.
6.2 Termination by Company
We may suspend or terminate your account if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in illegal or harmful activity
- Fail to pay subscription fees for more than 15 days after the due date
- Repeatedly violate TCPA or telecommunications regulations
- Harass our staff or engage in abusive conduct
We will provide notice of termination where legally possible. Termination is effective immediately, and you must cease all use of the Service.
7. Acceptable Use Policy
You agree not to use the Service to:
- Violate any federal, state, or local law or regulation
- Harass, threaten, intimidate, or abuse any person or entity
- Send spam, unsolicited marketing messages, or phishing attempts
- Impersonate another person or entity
- Upload malware, viruses, or malicious code
- Interfere with the Service's operation or security
- Reverse engineer, decompile, or attempt to access our source code
- Use the Service for high-volume automated calling or messaging
- Violate TCPA, GDPR, CCPA, or other telecommunications/privacy laws
- Record calls without proper consent where required by law
- Resell or redistribute the Service
- Exceed the usage limits of your subscription plan
8. TCPA Compliance and Your Responsibilities
8.1 Your Compliance Obligations
You are solely responsible for ensuring that your use of Frontbell complies with the Telephone Consumer Protection Act (TCPA), state telemarketing laws, and all other applicable telecommunications and privacy regulations. This includes:
- Obtaining prior written consent before calling or texting consumers for marketing purposes
- Maintaining and honoring a company-specific do-not-call list
- Complying with time-of-day calling restrictions (8 AM–9 PM recipient's local time)
- Providing accurate caller identification
- Providing clear identification of your business and a callback number
- Offering an easy opt-out mechanism (e.g., “Press 1 to opt out”)
- Maintaining call recordings and consent documentation for at least three years
- Honoring all consumer opt-out requests within 30 days
8.2 Frontbell's Role
Frontbell provides tools to support your compliance efforts, including call recording and do-not-call list management. However, Frontbell does not monitor or enforce your compliance with TCPA or other laws. You assume full responsibility for compliance.
8.3 No Liability for Your Violations
You indemnify and hold harmless Frontbell from any liability arising from your violations of the TCPA, state telemarketing laws, or other telecommunications or privacy regulations. If you are sued or fined for such violations, you are solely responsible for defending and paying any settlements or judgments.
9. Intellectual Property Rights
9.1 Company Ownership
All content, features, and functionality of the Service, including the platform software, user interface, design, logos, and trademarks, are owned by Vaxio Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws.
9.2 License to You
We grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your business purposes, subject to your compliance with these Terms. This license does not permit you to:
- Sublicense, transfer, or resell the Service
- Use the Service for third-party benefit
- Create derivative works or modifications
- Remove proprietary notices or labels
9.3 Your Content
You retain ownership of any content you create or upload to the Service (your business information, customer data, etc.). By uploading content, you grant Frontbell a worldwide, royalty-free license to use, store, process, and analyze your content solely to provide the Service, improve our algorithms, and comply with legal obligations. This does not include selling or licensing your raw data to third parties.
10. Data and Content Ownership
10.1 Your Data
You retain ownership of all data you provide to the Service, including customer information, call recordings, and business data. Upon account deletion, you have 30 days to export your data before permanent deletion.
10.2 Call Recordings
Call recordings and transcripts generated by the Service are owned by you. Frontbell retains the right to analyze anonymized transcripts to improve our voice models and algorithms, but will not share your specific recordings or identifiable data with third parties without your explicit consent.
11. Limitation of Liability
11.1 Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FRONTBELL DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Limitation of Damages
IN NO EVENT SHALL FRONTBELL BE LIABLE FOR:
- Indirect, incidental, consequential, or special damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from service interruptions or downtime
- Damages arising from your violations of these Terms or applicable law
- Damages in excess of the fees you paid in the 12 months preceding the claim
11.3 Sole Remedy
Your sole remedy for service failures or dissatisfaction is to cancel your subscription and receive a pro-rata refund of unused fees.
12. Indemnification
You agree to indemnify and hold harmless Frontbell, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your infringement of third-party intellectual property rights
- Your violation of TCPA or telecommunications laws
- Disputes with your customers or third parties related to your use of the Service
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the federal and state courts located in Delaware for any legal action or proceeding arising from or related to these Terms.
14. Dispute Resolution
Before pursuing legal action, you agree to attempt to resolve disputes through informal negotiation with our support team. If negotiation fails, either party may pursue binding arbitration or litigation as permitted by law.
15. Service Availability and Uptime
15.1 Best Effort Availability
We aim to maintain 99.5% uptime for the Service. However, we do not guarantee 100% availability. Service interruptions may occur for maintenance, updates, or due to circumstances beyond our control.
15.2 No Liability for Downtime
We are not liable for missed calls, lost messages, or business impacts resulting from service downtime, errors, or outages, except as specifically provided in our Service Level Agreement (SLA) for Business and Enterprise plans.
16. Changes to These Terms
We may update these Terms at any time. Material changes will be provided with 30 days' notice. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms periodically.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Frontbell regarding your use of the Service and supersede any prior agreements or understandings.
